Corporate law is a traditional specialisation of our office. We provide our clients with day-to-day legal services related to their business and help them to make the right decisions. Our team deals most frequently with the corporate governance of commercial companies, shareholders agreements, ordinary and extraordinary companies’ operations, due-diligence, establishment of new companies, drafting of management agreements, purchase and sale of shares/commercial companies, legal advices in setting of corporate bodies’ powers and responsibilities, organizing and managing meetings of statutory bodies, supervisory bodies, general meetings, liquidation and bankruptcy proceedings. We also offer legal services in relation to merger and acquisition transactions.
Real-estate and construction law
In the field of real estate law, we provide our clients with comprehensive legal services, in particular regarding purchase/sale and lease of lands, residential and commercial premises, including due diligence, land use planning and building proceedings, construction contracts.
We provide legal advices, assistance and representation to our clients in drafting and finalizing the necessary legal deeds and documents, for financing and security arrangements and for other negotiations with counterparties and banks.
Labour law
We have been providing continuous advice and complex legal services to our corporate clients in the field of labour law in order to prevent labour disputes. In this context our professionals draft templates for contractual employment documentation, including other labour-related documents and in-house regulations, provide consultancy in the area of posting of employees from/to the Czech Republic/Italy, employee incentive and bonus programs, protection of know-how and information, private data protection in employment relationships, as well as in the field of termination of employment relationships, equal treatment and anti-discrimination measures.
Contracts
Our legal services are mainly focused to the choice of the contracts most appropriate according to the specific needs of our clients and to the peculiarity of each case, including the negotiation, drafting and revision of all kinds of contractual documentation.
We prepare “customized” contracts for commercial and non-commercial activities that address our clients’ risks and at the same time represent a balanced solutions that will enable them to develop their business partnerships.
Litigations
In the field of litigation we advise our clients on the best processual strategy to be adopted, either as claimant or defendant.
Our team deals, of course, also with out-of-court negotiations (ADR) and settlement agreement, as well as with all the steps of the debt-collection’s phases, including enforcement proceedings.
We assist and represent our clients both before the Czech and Italian courts as well as before administrative authorities and administrative courts in both countries.
